Terms and conditions
1 · Scope
These terms and conditions apply to all contracts between BrainArts, proprietor Christoph Baumann, and its clients, unless expressly agreed otherwise in writing.
2 · Offers and formation of the contract
Offers are non-binding. A contract is formed by written order confirmation or by commencement of the services after the client has accepted a written fixed-price offer.
3 · Fixed price and scope of services
The agreed fixed price covers the scope of services set out in the written offer. Additional services outside this scope will be agreed separately on the basis of the work involved and confirmed in writing before they are provided.
4 · Client cooperation
The client must provide all content, data and access required to perform the services in good time. Delays caused by a failure to cooperate will extend the agreed deadlines accordingly.
5 · Payment terms
Unless otherwise agreed, the fixed price is payable in two instalments: 50 per cent when the order is placed and 50 per cent on handover. Payment is due within 14 days of receipt of the invoice. The small business exemption under section 19 of the German Value Added Tax Act (UStG) applies. VAT is not shown on invoices.
6 · Rights of use
Once payment has been made in full, the client receives a non-exclusive right, unlimited in time and territory, to use the works created under the contract for the agreed purpose.
7 · Warranty and liability
The statutory warranty provisions apply. Liability for slight negligence is limited to foreseeable loss typical of the contract. Liability for intent and gross negligence remains unaffected.
8 · Final provisions
German law applies. To the extent permitted by law, the place of jurisdiction for disputes is the contractor’s place of business. If any provision is invalid, the remaining provisions remain valid.
